Part A covers your use of this website. Part B sets out the terms of service of the Audact platform. Where a signed order form says otherwise, the order form governs.
A. Use of this website
This website presents the Audact service. Its content is for information, may change without notice and is not legal advice. The calls, agencies and people shown are fictional demonstrations.
You may not copy or reuse the content, visuals or code of this website without our written permission.
B1. Agreement
These terms govern your use of the Audact platform. Two companies are involved. Audact AI Ltd (71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, company no. 17059133) holds the intellectual property. AUDACT AI LIMITED (Ireland, CRO 822514, incorporated on 29 July 2026) is the EU operating company. Which Audact company is party to your contract is set in the order form you sign.
B2. Acceptance and licence
By creating an account, accessing the platform or signing a pilot order form, you accept these terms on behalf of yourself or the legal entity you represent. Subject to your compliance with these terms and payment of applicable fees, Audact grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the platform for your internal business operations and, where applicable, on behalf of your end clients during your subscription term.
B3. Restrictions
You may not:
- reverse-engineer, decompile or attempt to derive the source code or models underlying the platform;
- bypass, disable or circumvent the governance engine, the evidence chain or rate limits;
- use the platform to develop a competing product or service;
- resell, sub-license or white-label the platform outside the scope of your subscription;
- use the platform in breach of applicable law, including export controls, sanctions, EU AI Act prohibitions and data protection law;
- submit inputs intended to make the platform produce unlawful, infringing or harmful output.
B4. Service
Audact provides control and proof infrastructure for AI voice agents: rules checked during the call, AI disclosure, and a cryptographic audit trail for every call. The countries and rule sets available for a deployment are set out in the order form.
Audact is a compliance tool, not legal advice. You remain responsible for your own regulatory compliance.
B5. Subscription and pricing
Plans are billed monthly unless an annual prepayment is agreed. Pricing is set out in the signed order form. Overage charges apply to calls beyond plan limits. Prices exclude VAT.
The first 90 days include intensive implementation support. That is a level of attention, not an unlimited engineering commitment: work beyond the implementation described in the order form is quoted separately.
B6. Audact Guarantee
The Audact Guarantee applies only to misses by the Audact governance engine: cases where the engine should have blocked an utterance under the active rules and did not. Liability caps will be set once EU counsel has reviewed the agreement template. Until then, these terms make no monetary commitment.
Customers must keep the governance engine enabled, maintain valid API credentials, not bypass or circumvent validation, and report incidents within 24 hours of discovery. For full guarantee terms, write to legal@audact.ai.
B7. Data processing
Audact acts as processor, or as sub-processor on a white-label deployment. A separate data processing agreement governs this relationship: the one attached to your signed order form applies.
B8. Intellectual property
Audact has filed patent applications at the UK Intellectual Property Office. The portfolio is patent-pending and nothing here should be read as a grant. All platform intellectual property, models, documentation, designs, trade marks and improvements remain the exclusive property of Audact AI Ltd. All rights not expressly granted are reserved. The customer keeps ownership of customer data.
B9. Warranties
Audact will provide the platform with reasonable skill and care and in material conformance with its documentation. Except for that, and to the maximum extent permitted by law, the platform is provided "as is" and Audact disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Audact does not warrant uninterrupted or error-free operation and does not provide legal advice.
B10. Limitation of liability
Audact's total aggregate liability under these terms is limited to the fees paid by the customer in the 12 months before the event giving rise to the claim. Audact is not liable for indirect, incidental, consequential, exemplary, special or punitive damages, lost profits, lost revenue or loss of data. Audact is not liable for regulatory fines resulting from customer misconfiguration, bypassed validation or use outside documented parameters. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited by law.
B11. Termination
Either party may terminate for material breach not cured within 30 days of written notice. Audact may suspend access immediately for invoices more than 14 days overdue, a security risk or use that breaches section B3. On termination, the licence ends, Audact exports customer data on request within 30 days, and customer data is then deleted under the data processing agreement. Evidence records are kept afterwards only where a rule that applies to the customer or to Audact requires it, and no longer than that rule requires.
B12. Governing law
These terms are governed by the laws of England and Wales. Disputes are resolved exclusively by the courts of London, United Kingdom, except that either party may seek injunctive relief in any competent jurisdiction to protect its intellectual property or confidential information.
